  2. Complete the form below, read and agree to the Terms and Conditions and then click the "Apply for Extension" button
  3. Complete the University Information Form electronically and submit to university@tensilica.com

Terms and Conditions

PLEASE READ THE FOLLOWING LICENSE AMENDMENT CAREFULLY BEFORE DOWNLOADING OR USING ANY TENSILICA PRODUCTS.  THIS IS A LEGAL AGREEMENT BETWEEN YOU AND TENSILICA.  YOU REPRESENT THAT, IF YOU USE THE TENSILICA PRODUCTS ON BEHALF OF AN ENTITY, YOU HAVE AUTHORITY TO BIND THAT ENTITY TO THIS AGREEMENT (AND SUCH ENTITY IS ALSO CONSIDERED THE LICENSEE UNDER THIS AGREEMENT).  BY CLICKING THE “I AGREE TO THE TERMS AND CONDITIONS” BOX BELOW AND CLICKING THE "APPLY FOR EXTENSION" BUTTON, YOU ARE AGREEING TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AMENDMENT AND THE RELATED AGREEMENT.  IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS BELOW, YOU ARE NOT AUTHORIZED TO DOWNLOAD OR USE THE TENSILICA PRODUCTS.

This Amendment to the University Program License (“Amendment”) is between Tensilica Inc. and University.

WHEREAS, the parties desire to modify the existing University Program License Agreement ("Agreement") between Tensilica Inc. and University and modify the rights and obligations set forth therein as set forth in this Amendment;

The parties therefore agree as follows:

  1. Unless otherwise specifically defined herein, the capitalized terms in this Amendment have the same meaning as defined in the Agreement.
  2. Except as expressly provided in this Amendment, the terms and conditions of the Agreement remain in full force and effect.
  3. The Agreement and this Amendment constitute the entire agreement between the parties concerning its subject matter, and supersede any prior or contemporaneous agreements between the parties regarding the same whether written or oral. In the event of any conflict or inconsistency between the Agreement and this Amendment, this Amendment shall prevail and control.
  4. Section 2(c) of the Agreement shall be modified such that the ending date of the Research Period is 12 months after the next anniversary (in relation to the date of submission of this extension request) of the Effective Date of the Agreement.
